Terms and Conditions
1.1 These Terms and Conditions are the entire Agreement between Bordercheck Japan Co., LTD, Bordercheck Limited (Jointly referred to as BORDERCHECK), the customer (Customer), and the guarantors (if any) (Guarantors) for the supply of services (Services) to the Customer (Agreement).
1.2 All other implied terms and conditions do not form part of this Agreement.
1.3 This Agreement applies to every purchase of Services made by or on behalf of the Customer.
1.4 On placing an order for Services the Customer will be deemed to have accepted these terms and conditions. All orders from the Customer are to be made in writing and will be confirmed in writing by BORDERCHECK.
2.1 The price of the Services will be as advised in writing by BORDERCHECK from time to time (Price). BORDERCHECK reserves the right to alter the Price at any time. The Price shall be the price as at the time the Services are performed for the Customer.
2.2 Where a quotation is given by BORDERCHECK for Services to be supplied and stating the Price for those Services (Quotation), the Quotation is valid for one month from the date of issue.
2.3 The Customer agrees that all Prices specified are plus taxes and duties which may be applicable and any insurance/freight/handling charges.
2.4 Any additional charges will be at the expense of the Customer, and BORDERCHECK will invoice the Customer for such additional charges, providing any supporting invoices received in relation to the charges.
3.1 Any Services provided by Bordercheck will be supplied with all reasonable care, skill, diligence and professional responsibility.
3.2 Any change in the scope of Services supplied under this Agreement must be agreed in writing between the parties.
4.1 The Customer will do all things necessary to enable BORDERCHECK to perform its obligations under this Agreement including:
5.1 Unless otherwise agreed in writing, the Customer must pay the price of the Services, together with any other associated charges and taxes, to BORDERCHECK by the last day of the month following the date of invoice for those Services (Due Date). All payments are to be made in full without any deduction or set-off and paid by bank transfer unless otherwise instructed by BORDERCHECK.
5.2 All overdue accounts are to bear interest at BORDERCHECK’s sole discretion. If charged, interest is payable at the rate of 8.5% per annum calculated on a daily basis from the due date until the time of actual payment but without prejudice to BORDERCHECK’s other rights and remedies in respect of any default.
5.3 BORDERCHECK may suspend performance of Services while the Customer is in default and BORDERCHECK shall not be liable to the Customer for any loss or damage suffered by the Customer in exercising its rights under this clause.
5.4 The Customer is to pay to BORDERCHECK any expenses, disbursements and legal costs incurred by BORDERCHECK in the enforcement of any rights contained in this Agreement, including any reasonable solicitor’s fees or debt collection agency fees.
6.1 Ownership and title of all services and products (if any) remains with BORDERCHECK until the Customer has paid all monies owed to BORDERCHECK under this Agreement.
6.2 In addition to BORDERCHECK’s rights under clause 5, if any Services remain unpaid by the Customer following the Due Date, BORDERCHECK shall be entitled to enforce a worker’s lien over such of the Customer’s chattels in BORDERCHECK’s possession for which the Services remain unpaid.
7.1 BORDERCHECK may impose a credit limit on the Customer’s account and may change that credit limit from time to time without prior notice.
8.1 If the Customer believes that they have been supplied with services over their vehicles that do not meet the stated BORDERCHECK inspection scope, then the Customer must advise BORDERCHECK within 7 days of the Vehicles being delivered to the Customer. BORDERCHECK will then collect the Vehicles or arrange for their collection from the Customer and will assess the Vehicles and determine whether the Services performed were outside our stated operational scope.
8.2 If in the opinion of BORDERCHECK or its agent that the Services performed were outside the intended scope then BORDERCHECK will at its option re-perform the Services or pay or credit compensation to the Customer or its account an amount not exceeding the Price of the Services.
8.3 BORDERCHECK shall have no responsibility in respect of any inspection scope variances if any information about the Vehicles was misrepresented to BORDERCHECK, or any of the Customer’s obligations under clause 4 were breached.
8.4 If BORDERCHECK elects to re-perform the Services then the Customer shall be responsible for the costs of return of the Vehicles to such location as BORDERCHECK may reasonably specify.
9.1 Except as provided in this Agreement, BORDERCHECK is not to be liable in any way (including liability for negligence or otherwise in tort or in equity) to the Customer or to any person in connection with the Services supplied or not supplied or the exercise of BORDERCHECK’s rights under this Agreement.
9.2 In particular, but without limitation, BORDERCHECK (and its agents) will not be liable for any loss of income, profits, savings or goodwill or for any indirect or consequential loss or damages. BORDERCHECK is not liable for delay or failure to perform its obligations under this Agreement if the cause of that delay is beyond its control. In the event that BORDERCHECK is found liable, its liability will not exceed the value of the Services complained of.
9.3 The Customer agrees to indemnify BORDERCHECK against any claim brought by any person arising out of BORDERCHECK’s supply of any Services under this Agreement.
9.4 Both parties warrant that they hold and will continue to hold adequate liability insurance.
10.1 Neither the Customer nor the Guarantors may transfer any rights, obligations or benefit under this Agreement.
10.2 BORDERCHECK may transfer, assign or subcontract its rights and obligations under this Agreement including the right to exercise its security interests, recover unpaid Goods from the Customer’s premises and collect outstanding payments from the Customer.
11.1 BORDERCHECK shall retain in full all copyright and intellectual property rights in the Services purchased by the Customer. This includes but is not limited to any materials, documents, reports, records, presentations, procedures, techniques, models, methods and methodologies, know-how, software, user interfaces and screen designs, or any other work of any kind whatsoever created by BORDERCHECK in the course of performing the Services (Materials). In the event that any intellectual property rights in the Materials initially vests in the Customer, the Customer hereby fully assigns such rights to BORDERCHECK with immediate effect.
11.2 The use of BORDERCHECK’s or any associated company’s name, logo and/or registered marks for any purpose is not permitted unless agreed to in writing by BORDERCHECK.
11.3 This clause 11 shall survive the termination or expiry of this Agreement.
12.1 BORDERCHECK may terminate this Agreement at any time and for any reason by giving the Customer notice of that intention in writing.
12.2 Unless previously agreed in writing between the parties, the Customer may terminate this Agreement by providing 60 days’ notice in writing. The Customer may terminate this Agreement immediately by providing notice in writing where BORDERCHECK becomes insolvent, enters receivership or administration, or ceases or threatens to cease carrying on business.
12.3 Upon termination of the Agreement, all indebtedness of the Customer to BORDERCHECK is immediately due and payable and the Customer is to return (or allow collection of) all property belonging to BORDERCHECK.

13.2 The Customer represents and warrants that the Customer, its affiliates, their directors, officers and employees do not fall into any of the categories set out below, nor will they fall into any such category in the future:
13.3 If the Customer is found to be in breach of the representations and warranties in this clause 13, BORDERCHECK is entitled to terminate this Agreement and make a request for any damages caused by such a breach without notice, and any and all debts and other obligations of the Customer owed to BORDERCHECK shall become immediately due and payable.
14.1 The Customer irrevocably authorises BORDERCHECK to obtain from or to provide to any third party any information about the Customer as may be required by BORDERCHECK in connection with its lawful commercial purposes including, without limitation, in determining whether to extend credit to the Customer.
14.2 BORDERCHECK will hold any commercially and personally sensitive information gained through the supply of Services confidential, unless it is required to release such information in order to fulfil its legal obligations. This does not include holding confidential any information that is already in the public domain or has been disclosed by the Customer non-confidentially to any third party.
15.1 In consideration of BORDERCHECK supplying the Services to the Customer, the Guarantor jointly and severally, irrevocably and unconditionally guarantee the punctual payment of all amounts payable by the Customer to BORDERCHECK and the punctual performance of all the Customer’s obligations to BORDERCHECK.
15.2 The Guarantors acknowledge that they have been advised to obtain independent legal advice prior to signing this Agreement and have been given a reasonable time to do so.

16.3 Notices served by BORDERCHECK may, unless superseded, be served via BORDERCHECK’s website.
17.1 The parties shall meet and discuss in good faith any dispute between them arising out of this Agreement.
17.2 If the discussions referred to in clause 17.1 fail to resolve the relevant dispute, either party may (by written notice to the other party) require that the dispute be submitted for arbitration by a single arbitrator. In the event of any such submission to arbitration:
17.3 Neither party may issue any legal proceedings (other than for urgent interlocutory relief) in respect of any such dispute, unless that party has first taken all reasonable steps to comply with clauses 17.1 and 17.2.
18.1 For vehicles that are inspected via a Bordercheck service and undergo a detailed Condition Survey upon receipt at our facilities. This ensures that all parties have a clearly established view of vehicle condition at the port of our receiving it, and any damage or loss that may occur while the vehicle is in Bordercheck ‘care and control’.
Should you wish to ship a vehicle which is modified (outside of manufacturers build specs), or a vehicle in damaged or non-running condition, then Bordercheck will not take any liability for damage to these types of vehicles. We advise that you contact us prior to shipping and discuss the situation.
Responsibility commences from the point where Bordercheck takes care and control of your vehicle, and continues until the vehicle is loaded onto the vessel and out of our care.
18.2 Dangerous Goods – Often clients will wish to ship spare parts, loose items or personal effects inside vehicles (please see Inclusions below). Bordercheck will not take liability of any such items if they are classed as “Dangerous Goods” (or “DG”). These include things like car batteries, airbags, pyrotechnic seat belts and other such devices, chemicals, aerosols, in vehicles. If you have any doubt as to whether an item may be classed as “DG”, please inquire BEFORE shipping. Bordercheck reserve the right to have DG items removed and disposed of prior to shipping if required. Any disposal costs incurred by Bordercheck will be at the expense of the shipper.
**There may be some vehicles that may not be able to undergo a survey. In such instances, Claims in relation to these are considered on a case by case basis.

19.1 BORDERCHECK may in its absolute discretion change any of these Terms and Conditions at any time by sending at least 30 days’ notice in writing of the change to the Customer’s last known address.
19.2 BORDERCHECK shall not be deemed to have waived any right to do anything unless that waiver is in writing and signed by an authorised manager of BORDERCHECK.
19.3 The illegality, invalidity or unenforceability of any term of this Agreement is not to affect the legality, validity or enforceability of any other term.
19.4 BORDERCHECK will not be liable for any delay or failure in the performance of any of the obligations imposed by this Agreement due to circumstances beyond its reasonably control including, without limitation, acts of God, fire, explosions, floods, strikes, work stoppages, slowdowns or other industrial disputes, acts of government or acts of war, terrorism, natural disasters and manmade disasters.
19.5 Any electronic copy of this Agreement may be relied upon by the other party as though it were an original copy.
19.6 This Agreement shall be governed by the laws of Japan and the parties agree that the Japan courts shall have exclusive jurisdiction to determine any disputes brought under this Agreement.
19.7 This Agreement is prepared in English and Japanese, both of which are equally authentic. Should there be any discrepancies between these versions, the English version shall prevail.
1.1 これらの契約条件は、ボーダーチェックジャパン株式会社(BORDERCHECK)、顧客(Customer)、および保証人(該当する場合)(Guarantors)との間でサービス(Services)を提供するためのすべての合意(Agreement)を構成します。
1.2 他の暗黙の契約条件は本契約の一部を構成しません。
1.3 本契約は、顧客によるすべてのサービスの購入に適用されます。
1.4 サービスの注文を行う際、顧客はこれらの契約条件を受け入れたものとみなされます。顧客からのすべての注文は書面で行い、BORDERCHECKが書面で確認します。
2.1 サービスの価格は、BORDERCHECKが随時書面で通知する価格(Price)となります。BORDERCHECKはいつでも価格を変更する権利を有します。価格は、サービスが顧客に対して提供される時点の価格となります。
2.2 BORDERCHECKが提供するサービスに対する見積書(Quotation)に記載された価格は、発行日から1ヶ月間有効です。
2.3 顧客は、指定されたすべての価格が適用される税金や手数料、ならびに保険、運賃、取り扱い手数料に加算されることに同意します。
2.4 追加料金はすべて顧客の負担となり、BORDERCHECKはその追加料金について顧客に請求書を発行し、関連する請求書を添付します。
3.1 BORDERCHECKが提供するサービスは、合理的な注意、技能、勤勉さ、及び専門的責任をもって提供されます。
3.2 本契約に基づくサービスの範囲の変更は、当事者間で書面により合意されなければなりません。
4.1 顧客は、BORDERCHECKが本契約に基づく義務を履行できるようにするために必要なすべてのことを行います。これには以下の事項が含まれますが、これに限定されません。
5.1 別途書面による合意がない限り、顧客は、サービスの価格および関連する料金や税金を、該当するサービスの請求書発行月の翌月の最終日までにBORDERCHECKに支払わなければなりません(支払期日)。すべての支払いは、控除や相殺なしに全額を銀行振込で行うものとし、BORDERCHECKが別途指示しない限り、銀行振込によって行われます。
5.2 すべての延滞アカウントには、BORDERCHECKの裁量により利息が発生するものとします。利息が課される場合、その利息は年率8.5%で計算され、支払期日から実際の支払いが行われるまでの期間、日々計算されますが、BORDERCHECKの他の権利や救済手段を害することなく発生します。
5.3 顧客が延滞中の場合、BORDERCHECKはサービスの提供を停止することができ、その権利を行使することによって顧客が被る損失や損害についてBORDERCHECKは責任を負いません。
5.4 顧客は、BORDERCHECKが本契約に基づく権利を行使するために発生した費用、支出、法的費用(合理的な弁護士費用や債権回収機関の費用を含む)をBORDERCHECKに支払わなければなりません。
6.1 すべてのサービスおよび製品(該当する場合)の所有権とタイトルは、顧客が本契約に基づくすべての支払いをBORDERCHECKに完了するまでBORDERCHECKに留保されます。
6.2 顧客が支払期日を過ぎてもサービスの未払いがある場合、BORDERCHECKは、当該サービスが未払いの顧客の動産に対して労働者の留置権を行使する権利を有します。
7.1 BORDERCHECKは、顧客のアカウントに対してクレジットリミットを設定し、予告なしにそのリミットを変更することができます。
8.1 顧客が、BORDERCHECKの検査範囲を満たさないサービスが提供されたと信じる場合、車両が顧客に納車されてから7日以内にBORDERCHECKに通知しなければなりません。BORDERCHECKはその後、車両を回収し、または顧客からの回収を手配し、車両を評価し、サービスが規定範囲外で行われたかどうかを判断します。
8.2 BORDERCHECKまたはその代理人が、サービスが意図された範囲外で行われたと判断した場合、BORDERCHECKは、再度サービスを実施するか、顧客のアカウントにサービス価格を上限とする補償金を支払うまたはクレジットすることを選択できます。
8.3 顧客がBORDERCHECKに提供した情報が虚偽である場合、または第4条に基づく顧客の義務が違反された場合、BORDERCHECKは検査範囲の違反について一切の責任を負いません。
8.4 BORDERCHECKがサービスを再実施することを選択した場合、顧客は、BORDERCHECKが合理的に指定する場所までの車両の返送費用を負担するものとします。
9.1 本契約に定める場合を除き、BORDERCHECKは、提供されたサービスまたは提供されなかったサービス、または本契約に基づくBORDERCHECKの権利の行使に関連して、顧客または第三者に対していかなる方法(過失責任またはその他の不法行為または衡平法上の責任を含む)でも責任を負いません。
9.2 特に、BORDERCHECK(およびその代理人)は、収入、利益、貯蓄、または善意の損失、または間接的または結果的な損害や損失について責任を負わないものとします。BORDERCHECKは、本契約に基づく義務を履行できなかった場合、その原因がBORDERCHECKの管理外である場合には責任を負いません。BORDERCHECKが責任を負う場合、その責任は苦情のあるサービスの価値を超えないものとします。
9.3 顧客は、本契約に基づくBORDERCHECKのサービス提供に関連して生じた第三者からの請求に対して、BORDERCHECKを補償することに同意します。
9.4 両当事者は、適切な責任保険を保持し続けることを保証します。
10.1 顧客および保証人は、本契約に基づく権利、義務、または利益を譲渡することはできません。
10.2 BORDERCHECKは、本契約に基づく権利および義務を譲渡、譲渡、または下請けすることができます。これには、担保権の行使、顧客の敷地から未払いの商品の回収、および未払いの支払いの回収が含まれます。
11.1 BORDERCHECKは、顧客が購入したサービスに関するすべての著作権およびその他の知的財産権を保持します。これには、BORDERCHECKがサービスの提供中に作成したあらゆる資料、文書、報告書、記録、プレゼンテーション、手順、技術、モデル、方法論、ノウハウ、ソフトウェア、ユーザーインターフェース、画面設計、またはその他のあらゆる種類の作品(Materials)が含まれます。万が一、Materialsの知的財産権が最初に顧客に帰属する場合、顧客は直ちにその権利をBORDERCHECKに完全に譲渡するものとします。
11.2 BORDERCHECKまたは関連会社の名称、ロゴ、登録商標をいかなる目的でも使用することは、BORDERCHECKの書面による同意なしには許可されません。
11.3 この第11条は、本契約の終了または満了後も有効に存続します。
12.1 支払い義務の不履行またはその他の本契約条件の不履行が発生した場合、BORDERCHECKは、顧客に対して契約解除の通知を行う権利を有します。
12.2 本契約の解除後、BORDERCHECKは未払いのサービスについて即時支払いを求め、未払いの商品の回収を要求する権利を有します。
12.3 顧客は、本契約に基づいてBORDERCHECKに支払うべき金額の支払いに遅延が発生した場合、BORDERCHECKが適切と判断した場合、顧客に対してペナルティを課すことができます。
13.1 不可抗力事象が発生した場合、BORDERCHECKは、契約の全部または一部を履行する義務を免除されます。
13.2 不可抗力事象には、天災、戦争、テロ行為、暴動、政府の行為、火災、洪水、地震、労働争議、供給不足、その他BORDERCHECKの合理的な管理の及ばない事象が含まれます。
14.1 本契約は、日本国法に準拠し、日本の裁判所の専属管轄に服します。
14.2 本契約に関して生じた紛争は、まず当事者間で誠実に解決されるものとします。合意に至らない場合、いずれの当事者も裁判所に提訴する権利を有します。
15.1 顧客は、BORDERCHECKの事前の書面による同意なしに、本契約に基づく権利および義務を譲渡することはできません。
15.2 BORDERCHECKが本契約のいかなる条項の履行を免除または遅延させたとしても、それは将来の違反に対する免除とはみなされません。
